Welcome to Elixir Business Solutions Private Limited (hereinafter referred to as “Elixir”) Online Platform and viewing these terms and conditions of use (these “Terms of Use”). Our Online Platform includes this web site found at www.elixrbooks.comand such others as we may make available from time to time as well as our authorized mobile or other apps and certain limited features of our social media presence that we integrate with and control as described here (“Online Platform”).

1. Parts of this Agreement

This Agreement consists of the following terms and conditions (hereinafter the “General Terms”) and terms and conditions, if any, specific to use of individual Services (hereinafter the “Service Specific Terms”). In the event of a conflict between the General Terms and Service Specific Terms, the Service Specific Terms shall prevail.

2. Users Acknowledgement and Acceptance of Terms

You must be of legal age to enter into a binding agreement in order to accept the Agreement. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms and do not agree to any Service Specific Terms, do not use the corresponding Service. You can accept the Agreement by checking a checkbox or clicking on a button indicating your acceptance of the Agreement or by actually using the Services.

By using or downloading our Online Platform, you are agreeing to these Terms of Use as well as our Privacy Policy. We may revise these Terms of Use at any time as described here. It is important that you understand that our Online Platform is not the same as our products and services. If you formally become a customer of our product or service offerings, you will be required to enter into a subscription or other agreement. That agreement will have its own terms and conditions governing your rights and obligations as a customer of our offerings. That said, these Terms of Use are a legal document, so clarity is important. We use this section to let you know about some words that have special meanings whenever you see them here. The words “you” and “your” refer to each individual or legal entity accessing and using the Online Platform. The words “Elixr”, “we”, “us” and “our” refer to the Elixr Books, acting on behalf of itself and, where applicable, its affiliates and third-party licensors.

3. Description of Service

Elixr Books is an innovative cloud-based accounting software designed to simplify bookkeeping for businesses. It offers a range of features such as automated invoicing, real-time tracking of expenses, customizable financial reports, and easy collaboration with team members and accountants. Elixr Books aims to revolutionize the way businesses manage their finances and make accounting hassle-free. The Software is designed to meet the accounting needs of businesses across different sectors, including manufacturing, retail, service, IT Consulting, and many more. We provide an efficient and effective solution for small and medium-sized businesses to manage their finances and stay compliant with regulatory requirements.

We provide cloud software and applications for businesses, including associated offline and mobile applications ("Service" or "Services"). You may use the Services for your personal and business use or for internal business purpose in the organization that you represent. You may connect to the Services using any Internet browser supported by the Services. You are responsible for obtaining access to the Internet and the equipment necessary to use the Services. You can create and edit content with your user account and if you choose to do so, you can publish and share such content.

4. Rights and Conditions

You may access and view the text, images, graphics, logos, audio, video and other information and materials made available on or from the Online Platform (the “Content”) on your computer or other Internet compatible device solely in connection with your personal, non-commercial use. You also may print out and make copies of the Content in connection with such permitted, personal, non-commercial use. You may not make use of the Online Platform or any Content for any commercial purpose whatsoever unless you have received our express written prior permission in advance. You acknowledge that any use of Online Platform and Content, except as otherwise permitted in this paragraph, is a breach of these Terms of Use. Breach of certain paragraphs of these Terms of Use also may be a violation of applicable law. We will not be responsible or liable for any loss or damage arising from your failure to comply with these Terms of Use.

BY COMPLETING THE REGISTRATION PROCESS AND/OR USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO BE BOUND BY THE THESE TERMS OF USE, PLEASE EXIT THE SITE NOW. YOUR REMEDY FOR DISSATISFACTION WITH THIS SITE, OR ANY PRODUCTS, SERVICES, CONTENT, OR OTHER INFORMATION AVAILABLE ON OR THROUGH THIS SITE, IS TO STOP USING THE SITE AND/ OR THOSE PARTICULAR PRODUCTS OR SERVICES. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THIS SITE.

User Sign up Obligations

You need to sign up for a user account by providing all required information in order to access or use the Services. If you represent an organization and wish to use the Services for corporate internal use, we recommend that you, and all other users from your organization, sign up for user accounts by providing your corporate contact information. In particular, we recommend that you use your corporate email address. You agree to:

  1. provide true, accurate, current and complete information about yourself as prompted by the sign-up process; and
  2. maintain and promptly update the information provided during sign up to keep it true, accurate, current, and complete.

If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if Elixr has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, Elixr may terminate your user account and refuse current or future use of any or all of the Services.

Prohibited User Conduct

You are expressly prohibited from doing any of the following to the Online Platform, or using any portion of the Online Platform for purposes of, or in connection with:

  1. reverse engineering, making machine code human readable or creating derivative works or improvements;
  2. copying them;
  3. commercially exploiting or providing them to third parties (whether by sublicense, sale or other means);
  4. introducing, transmitting or storing malicious code;
  5. interfering with their security or operation;
  6. framing or mirroring them outside of your employer’s intranets;
  7. creating, benchmarking or gathering intelligence for a competitive offering;
  8. removing, modifying or obscuring proprietary rights notices on them;
  9. defaming or harassing;
  10. infringing another’s intellectual property rights including failing to obtain permission to upload/transfer/display works of authorship;
  11. intercepting or expropriating data; and/or
  12. spamming, spoofing or otherwise misrepresenting transmission sources.

Content

Content may have a variety of origins, including information generated and provided by us and third parties. We do not provide any warranty that the Content is or will be:

  • accurate or complete;
  • current (or that it will be updated);
  • error free (either technically or with respect to typographical errors); and/or
  • free from interruptions, computer viruses or other harmful components.

You may make use of the Content under the rights set forth Section 2, but under no circumstances will we be liable for any loss or damage caused by your reliance on Content. The Content may include ratings of agencies and such ratings do not necessarily reflect the quality of the agency. It is therefore your responsibility to evaluate the accuracy, completeness, or usefulness of any information, opinion, advice or other elements of the Content.

8. Beta Service

We may offer certain Services as closed or open beta services ("Beta Service" or “Beta Services”) for the purpose of testing and evaluation. You agree that we have the sole authority and discretion to determine the period of time for testing and evaluation of Beta Services. We will be the sole judge of the success of such testing and the decision, if any, to offer the Beta Services as commercial services. You will be under no obligation to acquire a subscription to use any paid Service as a result of your subscription to any Beta Service. We reserve the right to fully or partially discontinue, at any time and from time to time, temporarily or permanently, any of the Beta Services with or without notice to you. You agree that Elixr will not be liable to you or to any third party for any harm related to, arising out of, or caused by the modification, suspension or discontinuance of any of the Beta Services for any reason.

9. Free Service. If you register for a free service of one or more Services, Elixr will make the applicable Services available to you on a basis free of charge where you will not have any access to Light services or Premium services, whereas the Light Services will be restricted to some of the services and Premium Services will have access to all Services under Elixr Books.

Free Services will be available until the earlier of (i) when you end your free service of the applicable Services (unless terminated earlier by you), (ii) the start date of the paid subscription period for the applicable Services, or (iii) termination by Elixr in its sole discretion. Any data that you enter into the Services, and any customizations made to the Services during the free service will be permanently lost unless you (i) purchase the corresponding paid subscription plan for the account, (ii) purchase applicable Service upgrades, or (iii) export such data before the end of the trial period. Notwithstanding anything contained in this clause, Services are offered in as-is condition during the free service, without any warranty, covenant, support or liability whatsoever, to the extent permitted by law.

10. Account Registration. In order to use certain features of the Online Platform you will have to register with the applicable portion of the Online Platform and create an account (an “Account”). If you elect to create an Account you:

  1. agree to submit complete, accurate, and current information and data about you as required during the registration process (the “Registration Information”); and

  2. to maintain and promptly update your Registration Information. If you submit any information that is inaccurate or incomplete, or Elixr has a reasonable belief to suspect that such is the case, Elixr has the right to suspend or terminate your Account and use of the Account immediately. As part of the registration process, you may be issued dual authentication credentials in the form of a unique user identification (“User Name”) and password (“Password”). Your commitment to maintaining the strict confidentiality of that information is a material condition of your access and use of the Online Platform. You must not use or allow others to use your User Name and Password and you agree to:

    1. immediately notify us of any unauthorized use of your User Name or Password or any other breach of security related to the Online Platform; and

    2. ensure that you log-off and exit from your Account at the end of each session. It is also your responsibility to notify us if you desire to cancel your Account.

When you sign up for an account for your organization you may specify one or more administrators. The administrators will have the right to configure the Services based on your requirements and manage end users in your organization account. If your organization account is created and configured on your behalf by a third party, it is likely that such third party has assumed administrator role for your organization. Make sure that you enter into a suitable agreement with such third party specifying such party’s roles and restrictions as an administrator of your organization account.

You are responsible for:

  1. ensuring confidentiality of your organization account password,

  2. appointing competent individuals as administrators for managing your organization account, and

  3. ensuring that all activities that occur in connection with your organization account comply with this Agreement. You understand that Elixr is not responsible for account administration and internal management of the Services for you.

Administrator Account Recovery Process

You are responsible for ensuring that your organization does not lose control of the administrator accounts. In the event of such loss of control, the following process should be followed for recovering control:

  1. Email: adminrecovery@elixrbooks.com
  2. Provide the following details in the email:
    • Organization name
    • Details of the administrator account(s) lost
    • Proof of authorization to act on behalf of the organization
    • Contact information for verification

In the absence of any specified administrator account recovery process, Elixr may provide control of an administrator account to an individual providing proof satisfactory to Elixr demonstrating authorization to act on behalf of the organization. You agree not to hold Elixr liable for the consequences of any action taken by Elixr in good faith in this regard.

Fees and Payments

The Services are available under subscription plans of various durations. Your subscription will be automatically renewed at the end of each subscription period unless you downgrade your paid subscription plan to a free plan or inform us that you do not wish to renew the subscription. At the time of automatic renewal, the subscription fee will be charged to the Credit Card if any last used by you. We provide you the option of changing the details if you would like the payment for the renewal to be made through a different method of payment. If you do not wish to renew the subscription, you must inform us at least seven days prior to the renewal date. If you have not downgraded to a free plan and if you have not informed us that you do not wish to renew the subscription, you will be presumed to have authorized Elixr to charge the subscription fee to the Credit Card if any last used by you.

From time to time, we may change the price of any Service or charge for use of Services that are currently available free of charge. Any increase in charges will not apply until the expiry of your then current billing cycle. You will not be charged for using any Service unless you have opted for a paid subscription plan.

In the event any tax such as GST or the like is chargeable by Elixr in accordance with any local, state, provincial or foreign laws with respect to your subscription to our Services ("Taxes"), Elixr will invoice you for such Taxes. You agree to pay Elixr such Taxes in addition to the subscription fees. Elixr shall provide you with an invoice in the format prescribed by the applicable local, state, provincial or foreign laws to help you avail the applicable input tax credit for the Taxes so paid.

Personal Information and Privacy Terms

Personal information you provide to Elixr through the Service is governed by Elixr Privacy Policy. Your election to use the Service indicates your acceptance of the terms of the Elixr Privacy Policy. You are responsible for maintaining confidentiality of your username, password and other sensitive information. You are responsible for all activities that occur in your user account and you agree to inform us immediately of any unauthorized use of your user account by email to privacy@elixrbooks.com or by calling us on any of the numbers listed on www.elixrbooks.com. We are not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise.

Communications from Elixr

The Service may include certain communications from Elixr, such as service announcements, administrative messages, and newsletters. You understand that these communications shall be considered part of using the Services. As part of our policy to provide you total privacy, we also provide you the option of opting out from receiving newsletters from us. However, you will not be able to opt-out from receiving service announcements and administrative messages.

Complaints

If we receive a complaint from any person with respect to your activities as part of the use of the Services, we will forward the complaint to the primary email address of your user account. You must respond to the complainant directly within 10 days of receiving the complaint forwarded by us and copy Elixr in the communication. If you do not respond to the complainant within 10 days from the date of our email to you, we may disclose your name and contact information to the complainant for enabling the complainant to take legal action against you. You understand that your failure to respond to the forwarded complaint within the 10 days’ time limit will be construed as your consent to disclosure of your name and contact information by Elixr to the complainant.

Grievance Redressal

In case of any grievance, as defined under Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, you may contact our grievance officer by sending an email to [email] or by phone at [phone number].

Inactive User Accounts Policy

We reserve the right to terminate unpaid user accounts that are inactive for a continuous period of 90 days. In the event of such termination, all data associated with such user account will be deleted. We will provide you prior notice of such termination and option to back-up your data. The data deletion policy may be implemented with respect to any or all of the Services. Each Service will be considered an independent and separate service for the purpose of calculating the period of inactivity. In other words, activity in one of the Services is not sufficient to keep your user account in another Service active. In case of accounts with more than one user, if at least one of the users is active, the account will not be considered inactive.

Sample Files and Applications

Elixr may provide sample files and applications for the purpose of demonstrating the possibility of using the Services effectively for specific purposes. The information contained in any such sample files and applications consists of random data. Elixr makes no warranty, either express or implied, as to the accuracy, usefulness, completeness or reliability of the information or the sample files and applications.

Trademarks and other Intellectual Property Rights

The logos, names, and other similar marks (collectively, the "Trademarks") displayed on the Online Platform are registered and unregistered Trademarks of ours and our licensors and may not be used unless authorized by the Trademark owner. The print-outs and copies you are permitted to make under Section 2 may have Trademarks on them and you may make incidental, non-commercial use to the same extent as those print-outs and copies. Except for such incidental use, nothing contained on the Online Platform or in these Terms of Use should be construed as granting you any license or other right to use any Trademark displayed. As between you and us, we are the exclusive owners of all right, title and interest, including intellectual property rights (including copyrights, patents, and trademarks), proprietary rights (including trade secrets and database rights), and moral rights (including rights of attribution and authorship) throughout the world in and to the Online Platform, its Content and its and their look and feel, design and organization and compilation as well as all Trademarks. If you believe any content appearing on the Online Platform violates your intellectual property rights, please notify us at privacy@elixrbooks.com, so that we can consider appropriate take down procedures.

Social Media

Social media platforms are places of public information exchange, and you should have no expectation of privacy when using them. Specifically, our Privacy Policy does not apply to our External Social Media Presence. The sites and platforms that host our External Social Media Presence are not controlled by us and therefore their own, and not our privacy policies and terms of use will apply. The comments and opinions expressed by users on social media are theirs alone and do not reflect the opinions of Elixir. Comments that some would consider inappropriate or offensive may appear on our Internal Social Media Features and on our External Social Media Presence and may remain there until they have been identified by us or called to our attention and we are able to work through the necessary procedures and technical processes to have them removed. If you see an offensive or inappropriate post or comment on our External Social Media Presence, you should report it to the operator of the applicable site or platform using the procedures they have established for that purpose. If you see such a post on Internal Social Media Features it should be reported directly to us via our official feedback e-mail id privacy@elixrbooks.com.

Submitted Materials; User Generated Content

All information, ideas, suggestions, concepts or other materials submitted by you voluntarily or at our request, such as questions sent to us via the “Contact Us” link or user-generated content on our Internal Social Media Features or External Social Media Presence (collectively, “Submitted Materials”) may be used by us in any lawful manner, provided that personal information portions of Submitted Materials will only be used as described in our Privacy Policy. By providing Submitted Materials you: (a) represent and warrant that you own or otherwise have all necessary rights to do so and that the Submitted Materials comply with applicable laws; and (b) grant to us a royalty-free, worldwide, perpetual, irrevocable, non-exclusive and fully transferable, assignable and sublicensable right and license to copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, make, sell, export and otherwise use such material (in whole or part) and/or to incorporate it in other works in any form, media or technology now known or later developed. We cannot be responsible for maintaining any Submitted Materials that you provide to us; therefore you should retain copies of all such data and information in your own records.

Other Policies and Terms

Our collection of certain information about you, including personal information provided as part of the above described Submitted Materials, is subject to our Privacy Policy which is incorporated herein by reference for all purposes. Sales of our products and services are governed by separate terms and conditions of sale and related contract documents and not these Terms of Use. Any attempt to submit a purchase order or similar document as Submitted Materials in order to circumvent our separate product and/or services sales contracts is hereby rejected and null, void and of no effect.

Third Party Applications and Web Sites

a) Third Party Applications: Elixir Services integrate with many third-party applications (hereinafter "Third Party Application(s)"). Access and use of the Third Party Applications may require acceptance of terms of service and privacy policies applicable to such Third Party Applications (hereinafter "Third Party Terms"). You are responsible for reading and understanding the Third Party Terms before accessing or using any Third Party Application. You acknowledge and agree that Elixir is not liable for any Third Party Applications. While we will try to provide you with advance notice, whenever reasonably possible, you acknowledge and agree that Elixir may, at any time and in our sole discretion, and without any notice to you, suspend, restrict or disable access to or remove from Elixir Services, any Third Party Application, without any liability to you, including without limitation for any loss of profits, revenue, data, goodwill or other intangible losses.

b) Links from our Online Platform: You may see on the Online Platform hyperlinks or pointers to other web sites maintained by third parties and we also may provide third party content on the Online Platform by framing or other methods (collectively, “Links”). Links are provided for your convenience and information only. The fact that we provide a Link does not mean that we endorse, authorize or sponsor that web site or offering or that we are affiliated with the third party owners or sponsors. Except for the links to our brands, products, and services within the Online Platform, neither the websites nor parties to which a Link will bring you are under our control, and as such we are not responsible in any way for their availability, content, advertising, products or materials, including any further links their sites may contain. This means that once you follow an external Link, you are no longer subject to our Privacy Policy. You should, therefore, carefully review the privacy statements and other conditions of use and sale related to any Links. We reserve the right to terminate a Link at any time without notice.

Hosting Location

The location of the cloud facility from which you are served depends on the mapping of your region/country to the available cloud facilities at the time of your sign-up. We may migrate your account or require you to migrate your account to a different cloud facility in the event of any updates to the region/country to cloud facility mapping at any point in time. You must not mask your internet protocol (IP) address at the time of sign-up since your region/country is determined based on your IP address. If, at any time, your actual region/country is found to be different from the region/country in our records, Elixir may take appropriate action such as migrating your account or requiring you to migrate your account to the cloud facility corresponding to your region/country, or close your account and deny the Service to you. If you are served from a cloud facility outside your region/country and an Elixir group entity has an office in your region/country, apart from storing the data in the cloud facility assigned to you, we may store a local copy of the data in your region/country.

Data Ownership

We respect your right to ownership of content created or stored by you. You own the content created or stored by you. Unless specifically permitted by you, your use of the Services does not grant Elixir the license to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for Elixir’s commercial, marketing or any similar purpose. But you grant Elixir permission to access, copy, distribute, store, transmit, reformat, publicly display and publicly perform the content of your user account solely as required for the purpose of providing the Services to you.

User Generated Content

You may transmit or publish content created by you using any of the Services or otherwise. However, you shall be solely responsible for such content and the consequences of its transmission or publication. If you are a publisher of news and current affairs content as defined under Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, you shall furnish details to the Ministry of Information and Broadcasting as required by rule 18. Any content made public will be publicly accessible through the internet and may be crawled and indexed by search engines. You are responsible for ensuring that you do not accidentally make any private content publicly available. Any content that you may receive from other users of the Services is provided to you on an AS IS basis for your information and personal use only, and you agree not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, license or otherwise exploit such content for any purpose, without the express written consent of the person who owns the rights to such content. In the course of using any of the Services, if you come across any content with copyright notices or any copy protection features, you agree not to remove such copyright notices or disable such copy protection features as the case may be. By making any copyrighted/copyrightable content available on any of the Services you affirm that you have the consent, authorization, or permission, as the case may be, from every person who may claim any rights in such content to make such content available in such a manner. Further, by making any content available in the manner aforementioned, you expressly agree that Elixir will have the right to block access to or remove such content made available by you if Elixir receives complaints concerning any illegality or infringement of third party rights in such content. By using any of the Services and transmitting or publishing any content using such Service, you expressly consent to determination of questions of illegality or infringement of third party rights in such content by the agent designated by Elixir for this purpose.

Liability and Indemnity

THE ONLINE PLATFORM, ITS CONTENT AND ANY OTHER INFORMATION, FEATURES AND FUNCTIONS OR SERVICES ON IT ARE PROVIDED ON AN "AS IS" AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELIXIR, ITS AFFILIATES AND ITS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, MEMBERS, MANAGERS, SHAREHOLDERS AND REPRESENTATIVES (“ELIXIR PARTIES”) DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED OR STATUTORY. IF YOU ARE DISSATISFIED WITH THE ONLINE PLATFORM, THE CONTENT OR ITS FEATURES AND FUNCTIONS AND SERVICES, YOUR SOLE REMEDY IS TO DISCONTINUE ITS USE. THE ELIXIR PARTIES, HAVE NO LIABILITY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, PUNITIVE, SPECIAL OR INCIDENTAL DAMAGES, (INCLUDING CLAIMS OF DEFAMATION, ERRORS, LOSS OF DATA, OR INTERRUPTION IN AVAILABILITY OF DATA), OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF, OR THE INABILITY TO USE, THE ONLINE PLATFORM, ITS CONTENT OR FEATURES AND FUNCTIONS AND SERVICES THAT YOU ACCESS THROUGH THE ONLINE PLATFORM. THESE LIMITATIONS SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT THE ELIXIR PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE. You agree to defend, indemnify and hold the Elixir Parties harmless from any and all claims, liabilities, costs and expenses, including reasonable advocate fees, arising in any way from your use of the Online Platform, or your breach or violation of applicable laws or of these Terms of Use. Elixir reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Elixir’s defense of such claim.

27. Limitation of Liability

YOU AGREE THAT ELIXIR SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ELIXIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL ELIXIR’S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED FIFTY THOUSAND RUPEES (₹ 50,000) OR THE FEES PAID BY YOU DURING THE TWELVE (12) MONTHS PRIOR TO THE FIRST EVENT GIVING RISE TO SUCH LIABILITY, WHICHEVER IS HIGHER.

28. Governing Law and Jurisdiction

Any controversy or claim arising out of or relating to the Terms shall be settled and adjudicated exclusively by the courts of Chennai in accordance with the laws of India without regard to conflict of law principles.

29. Suspension and Termination

We may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies. Objections to suspension or disabling of user accounts should be made to privacy@elixrbooks.com within thirty days of being notified about the suspension. We may terminate a suspended or disabled user account after thirty days. We will also terminate your user account on your request.

In addition, we reserve the right to terminate your user account and deny the Services upon reasonable belief that you have violated the Agreement and to terminate your access to any Service in case of unexpected technical issues or discontinuation of the said Service. You have the right to terminate your user account if Elixir breaches its obligations under this Agreement and in such event, you will be entitled to prorated refund of any prepaid fees. Termination of user account will include denial of access to all Services, deletion of information in your user account such as your email address and password and deletion of all data in your user account.

30. Miscellaneous

These Terms of Use and the Privacy Policy are the entire and exclusive agreement between us and all visitors and users of the Online Platform. Neither any course of conduct between the parties nor trade practice will modify these Terms of Use. We may assign our rights and duties under these Terms of Use to any party at any time without notice to you. You agree that regardless of any statute or law to the contrary, any claim or cause of action by you arising out of or related to use of the Online Platform, these Terms of Use or the Privacy Policy must be filed by you within one year after such claim or cause of action arose or be forever barred. Should any provision of these Terms of Use be held to be unenforceable, that provision will be limited to the minimum extent necessary and the remaining provisions hereof shall remain in full force and effect. The waiver of any breach of these Terms of Use will not constitute a waiver of any other or future breach and will not act to amend or negate the rights of the waiving party. You many not assign your rights or obligations hereunder. The provisions of these Terms of Use pertaining to disclaimers, exclusion of damages, limitation of liability and indemnification shall survive termination. The word “including” is exemplary meaning “including, without limitation” or “including, but not limited to” unless otherwise indicated.

31. Amendments

You are hereby notified to check this page periodically for such amendments or revision, we will try to post notice that a revision has been made somewhere within the Online Platform. Whether or not we provide, or you see such notice, however, by continuing to access and use the Online Platform after the revisions are made, you are deemed to have accepted and agreed to the revised Terms of Use.
